Terms of use for Theia Prozessportal

    As of: October 2026

    1. Scope and provider

These terms of use apply to the app “Theia Prozessportal”, the SharePoint Online package with the “Prozessportal” web part, and to updates Theia provides for it (together the “app”). The provider is Theia Solutions AG, Wasserwerkstrasse 2, 8006 Zurich, Switzerland, UID CHE-331.232.401 (“Theia”).

The terms apply between Theia and the organisation that installs or uses the app (“you”). By installing or using the app, you accept them.

    2. Right of use

Theia grants you, free of charge, the non-exclusive and non-transferable right to install the app in your own Microsoft 365 tenant and to use it for your own purposes. Everyone you give access to the portal may use the app.

You may not sell or rent the app or provide it to third parties for use in their tenant. All rights in the app remain with Theia. The app contains open-source components, for example bpmn-js; their own licences apply to them in addition.

    3. Free of charge and without warranty

The app is free of charge. Theia provides it as is. To the extent permitted by law, Theia gives no warranty and makes no representations about its properties, in particular not that the app runs without interruption or errors, is fit for a particular purpose or keeps working after changes to Microsoft 365.

    4. Liability

Theia is liable only for damage it has caused intentionally or through gross negligence. Otherwise, Theia's liability is excluded to the extent permitted by Swiss law. This also applies to indirect and consequential damage, loss of profit and loss of data.

    5. Your responsibilities

    • Licences: you obtain the required Microsoft licences yourself: Microsoft 365 with SharePoint Online; for optional flows, suitable Power Automate licences; for the AI module, Power Automate Premium for the flow account, a Power Platform environment with Dataverse, and AI Builder credits or Copilot credits.
    • Data backup: you back up the portal data. The app itself backs up nothing; the SharePoint recycle bin and version history work as usual.
    • Permissions: you decide who can access the site and the portal and what they can do there.
    • Content and data protection: you are responsible for the content in the portal, including the personal data in it.
    • AI suggestions: results of the AI module are suggestions and can be incomplete or wrong. Check them before you use them. People make the decision, not the AI.
    • Audits: the portal supports your evidence. Certification remains a matter for your management system and your certification body.

    6. Support, introduction and customising

Free use includes no right to support, bug fixes, updates or a particular availability, unless Theia agrees this with you separately.

Theia offers introduction, customising, setting up the optional flows and the AI module, and support under a separate agreement. That agreement and Theia's general terms and conditions apply; if they conflict with these terms of use, the agreement prevails. How to reach us is described on the support page.

    7. Data protection

How the app handles data is described in the privacy notice for Theia Prozessportal.

    8. Term and termination

The right of use has no time limit. You can stop using the app at any time by uninstalling it; the portal's lists and libraries stay in your site, and you decide whether and when to delete them. Theia can end the right of use if you breach these terms. Theia can develop the app further or stop providing it.

    9. Changes

Theia can change these terms of use. The new version applies from its publication on this page to installations and updates made after that.

    10. Governing law and jurisdiction

These terms of use are governed by Swiss law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Zurich, Switzerland.

    11. Final provisions

If a provision of these terms of use is invalid, the remaining provisions stay valid. The invalid provision is replaced by a valid one that comes as close as possible to its purpose. If the German and the English versions differ, the German version prevails.
